Governance & structure — PROVE Institute

The structure

The members — Provers
Own the mutual · elect the board · one member, one vote
The Board
Elected by members · sets policy · safeguards independence
Certification Committee

Examines and confers the four tiers; reviews peer assessment.

Methodology & Conduct Committee

Maintains the code of conduct and the practice the profession works to.

Complaints & De-certification Panel

Hears complaints independently; can suspend or withdraw a certification.

Built-in safeguards

Independence held in the architecture

These are constitutional, not discretionary. They cannot be waived by management for a single engagement.

The Institute holds no equity in any Improver, KiniCo or downstream venture.
Provers rotate off recurring engagements at defined intervals.
Verification and advisory work are kept in separate hands.
Complaints are heard by a panel that sits apart from certification.

Individual directors and officers, and their photographs, are held back for a later release. At launch the Institute presents its architecture rather than its people — the structure is what the integrity rests on.
